BENEFIT CORPORATION CHARTER

DORA Skincare Benefit Corporation Charter

DORA was born from a simple yet transformative idea: skincare can be a political act, an expression of identity, and a tangible contribution to a more equitable world.

IDENTITY AND PURPOSE

Article 1 – Who We Are

DORA Skincare is a Benefit Corporation that develops and distributes skincare products designed around the relationship between hormones and skin, particularly within the context of Gender-Affirming Hormone Therapy (GAHT). Our mission is to redefine personal care standards through a scientific, empathetic, and non-binary approach.

Article 2 – Impact Statement

Skin has no gender. Neither does the care it deserves.

DORA promotes a non-binary culture of beauty, free from labels and grounded in science, inclusion, and sustainability. Through skincare products designed for every body and every identity, we strive to contribute to a world where diversity is a strength rather than a barrier. A world where caring for oneself also means caring for others and for the planet.

Article 3 – Theory of Change

We believe that inclusion is not merely a beautiful message to communicate,

but a system that must be thoughtfully designed and put into practice.

Our theory of change is built upon three pillars:

  1. Active representation of marginalized identities in communication, research, and management.
  2. Equitable access to truly effective skincare products, developed according to specific hormonal data and needs, especially for individuals undergoing gender-affirming hormone therapy.
  3. Measurable social and environmental impact achieved through responsible business practices, transparent partnerships, and investments in communities and non-profit initiatives

PUBLIC BENEFIT PURPOSES

Article 4 – Commitment to Social Inclusion

DORA is committed to generating a positive impact for marginalized individuals and communities, particularly transgender, non-binary, and queer people. To achieve this, we:

  • Through the DORA Gender Rights Fund, allocate 1% of annual revenue and 5% of profits to advancing gender rights, supporting high-impact local organizations and initiatives, and actively assisting individuals experiencing hardship.
  • Promote the inclusion of transgender and non-binary people in the workforce through direct hiring, networking, and the DORA Creator Program, contributing to the reduction of inequalities within professional environments.
  • Actively support events and public initiatives that advance LGBTQIA+ rights and consistently use inclusive language.
  • Collaborate exclusively with partners and suppliers who share our values of respect, inclusion, and social justice.

Article 5 – Commitment to the Environment

We believe in a future where every business decision is also a climate decision. Therefore, we:

For this reason, we:

  • Through our partnership with ZeroCO2, donate 1% of annual revenue to reforestation projects in the Arusha region of Tanzania, helping combat desertification and empower Maasai women.

  • Participate in urban regeneration activities, land restoration projects, and actively engage in environmental campaigns and green initiatives.

  • Respect nature by developing innovative formulations with a high natural-origin index and by exploring alternative packaging solutions to reduce our environmental footprint through increasingly sustainable packaging and materials.

  • Prioritize partners and suppliers that are B Corp certified or demonstrate a concrete commitment to the planet in accordance with ESG principles.

MONITORING, EVALUATION, AND TRANSPARENCY

Article 6 – Impact Assessment

Each year, DORA publishes a publicly accessible Impact Report measuring progress toward the social and environmental objectives set forth in this Charter.

Article 7 – Participatory Governance

Our strategy is guided by the community that inspired us. Therefore, we:

• Actively involve transgender, non-binary, and queer individuals in product validation, dermatological testing, and decision-making processes.

• Provide ongoing opportunities for listening, dialogue, and collaboration through surveys, advisory panels, and community-driven partnerships.

LONG-TERM COMMITMENT

Article 8 – Continuity of Public Benefit

In the event of changes in ownership or governance, the principles outlined in this Charter shall remain binding upon any future legal entity or controlling party that assumes control of the Company.

For us, being a Benefit Corporation is not a marketing strategy.

It is an act of integrity. It is our way of affirming that care is political, and identity is a right. Every formula, every decision, every partnership is designed to transform an everyday gesture—such as applying a face cream—into an act of change.
